Logan Peak Partners engaged us to build and execute a focused acquisition strategy for its first search fund targeting a North American proptech platform. Search Funds look to acquire and operate 1-2 lower‑middle‑market business, and Logan Peak needed a systematic deal‑sourcing engine, investment thesis refinement, and transaction execution playbook that culminated in acquiring MeterNet USA – a leader in submetering hardware and billing software.
Scope & Approach
We started by defining Logan Peak’s investment criteria (proptech software/hardware, $3–10 M EBITDA, defensible recurring revenue, fragmented industry) and mapped the U.S. submetering, smart‑building, and utility management landscape. Phase 1 combined proprietary market research with targeted outreach to >350 founders and executives, generating 120 inbound discussions.
Phase 2 shifted to transaction execution: deep due diligence on MeterNet (Fallbrook, CA), valuation modeling, deal structuring, and negotiation of a definitive purchase agreement. Eventually Logan Peak moved forward and coordinated third‑party advisors for legal, accounting, and technical audits and crafted an earn‑out–driven purchase price.
